Terms and conditions for using Silent Foxtrot's services and website

1. Introduction

These Terms of Service ("Terms") govern your use of the Silent Foxtrot website and services provided by Silent Foxtrot Pty Ltd (ABN: 12 345 678 901) ("we", "us", or "our"). By accessing our website or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or services.

2. Services

2.1 Training Services

Silent Foxtrot provides public speaking and communication training services, including:

  • Foundation Public Speaking Courses
  • Business Presentation Mastery Programs
  • Virtual Speaking Excellence Training
  • Corporate Training Programs
  • Individual Coaching Sessions
  • Online Resources and Materials

2.2 Service Delivery

Services may be delivered:

  • In-person at our training facilities or client locations
  • Online via video conferencing platforms
  • Through hybrid delivery methods
  • Via self-paced online materials

3. Enrollment and Payment

3.1 Course Enrollment

To enroll in our courses, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information
  • Agree to these Terms of Service
  • Make payment in accordance with our payment terms

3.2 Pricing and Payment

All prices are in Australian Dollars (AUD) and include GST where applicable. Payment terms:

  • Full payment is required upon enrollment unless alternative arrangements are made
  • We accept credit cards, bank transfers, and approved payment methods
  • Corporate clients may be offered net 30-day payment terms with approval
  • Late payment fees may apply for overdue accounts

3.3 Price Changes

We reserve the right to change our prices at any time. Price changes will not affect existing enrollments but will apply to new bookings made after the change.

4. Cancellation and Refunds

4.1 Cancellation by Students

You may cancel your enrollment according to the following terms:

  • More than 14 days before course start: Full refund minus 10% administration fee
  • 7-14 days before course start: 50% refund
  • Less than 7 days before course start: No refund, but you may transfer to another course within 12 months
  • After course commencement: No refund available

4.2 Cancellation by Silent Foxtrot

We may cancel courses due to:

  • Insufficient enrollment numbers
  • Trainer illness or unavailability
  • Force majeure events
  • Technical issues preventing service delivery

In such cases, you will receive a full refund or be offered transfer to an alternative course.

4.3 Cooling-off Period

For individual courses over $500, you have a 10-business-day cooling-off period from enrollment to cancel for a full refund, provided the course has not commenced.

5. Attendance and Participation

5.1 Attendance Requirements

To receive course completion certification, you must:

  • Attend at least 80% of scheduled sessions
  • Participate actively in exercises and discussions
  • Complete required assignments or assessments
  • Conduct yourself professionally and respectfully

5.2 Make-up Sessions

Make-up sessions may be available for missed classes:

  • Subject to trainer availability
  • Must be scheduled within 30 days of the missed session
  • Additional fees may apply
  • Limited to one make-up session per course

6. Code of Conduct

6.1 Expected Behavior

All participants must:

  • Treat trainers and fellow participants with respect
  • Maintain confidentiality of shared experiences
  • Arrive on time and prepared for sessions
  • Avoid disruptive behavior
  • Follow health and safety guidelines

6.2 Prohibited Conduct

The following behaviors are not permitted:

  • Harassment, discrimination, or offensive language
  • Recording sessions without explicit permission
  • Sharing course materials without authorization
  • Promoting competing services during sessions
  • Violating intellectual property rights

6.3 Enforcement

Violation of our code of conduct may result in:

  • Warning and counseling
  • Temporary suspension from sessions
  • Permanent removal from the program without refund
  • Legal action if warranted

7. Intellectual Property

7.1 Our Content

All content provided by Silent Foxtrot, including but not limited to:

  • Training materials and handouts
  • Presentation slides and videos
  • Proprietary methodologies and frameworks
  • Website content and design
  • Logos, trademarks, and branding

remains the exclusive property of Silent Foxtrot and is protected by intellectual property laws.

7.2 Usage Rights

Upon enrollment, you receive a limited, non-exclusive license to:

  • Use course materials for personal learning purposes
  • Reference techniques in your professional practice
  • Retain materials for ongoing personal development

7.3 Restrictions

You may not:

  • Reproduce, distribute, or sell our materials
  • Create derivative works based on our content
  • Use our materials to train others commercially
  • Remove copyright or trademark notices

8. Privacy and Confidentiality

8.1 Privacy Protection

We handle your personal information in accordance with our Privacy Policy and Australian privacy laws. By using our services, you consent to our collection and use of your information as described in our Privacy Policy.

8.2 Confidentiality

Information shared during training sessions by participants should be treated as confidential. We expect all participants to respect the privacy of fellow attendees.

8.3 Testimonials and Feedback

We may request permission to use your feedback, testimonials, or success stories for marketing purposes. Your consent will be obtained before any such use.

9. Limitation of Liability

9.1 Service Limitations

While we strive to provide high-quality training, we cannot guarantee:

  • Specific outcomes or performance improvements
  • Career advancement or salary increases
  • Complete elimination of speaking anxiety
  • Suitability for all individual circumstances

9.2 Liability Caps

Our liability for any claim arising from our services is limited to:

  • The amount paid for the specific service in question
  • Direct damages only (no consequential or indirect damages)
  • Claims made within 12 months of the incident

9.3 Exclusions

We are not liable for:

  • Technical issues with online platforms not under our control
  • Travel or accommodation costs for cancelled in-person sessions
  • Lost opportunities or business due to cancelled sessions
  • Actions or statements of other participants

10. Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or public health emergencies
  • Government regulations or restrictions
  • Technical failures of third-party systems
  • Industrial disputes or transport disruptions
  • Acts of terrorism or civil unrest

11. Dispute Resolution

11.1 Internal Resolution

If you have a complaint or dispute, we encourage you to first contact us directly. We will make reasonable efforts to resolve the matter promptly and fairly.

11.2 Mediation

If internal resolution is unsuccessful, disputes may be referred to mediation through a recognized mediation service in Sydney, Australia.

11.3 Legal Proceedings

Any legal action must be commenced within 12 months of the incident giving rise to the claim. These Terms are governed by the laws of New South Wales, Australia.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and course-specific terms, constitute the entire agreement between you and Silent Foxtrot.

12.2 Modifications

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.4 Assignment

We may assign our rights and obligations under these Terms. You may not assign your rights without our written consent.

12.5 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that or any other provision in the future.
